Corporate Governance

As a subsidiary of Brookfield Asset Management Inc., which is listed on the NYSE, TSX and NYSE Euronext, Brookfield Brazil abides by the Corporate Governance guidelines of the parent company. This includes full compliance by all of the group’s Brazilian companies with the requirements of the U.S. Sarbanes-Oxley Act of 2002.

The Corporate Governance practices created by Brookfield Asset Management Inc. and followed by Brookfield Brazil are designed to promote the health and ongoing development of the company, with our ultimate objective always being the best long-term interests of the company and the enhancement of value for all shareholders. Code of Business Conduct and Ethics 
It has always been the policy of Brookfield that all activities be conducted with the highest standards and in compliance with all legal requirements.
 
The Code of Business Conduct and Ethics for the directors, officers and employees of Brookfield and subsidiaries formally sets out standards for behavior and practice and requires all directors, officers and employees to indicate in writing their familiarity with the Code and their agreement to comply with it.

Human Resources 
Brookfield has close to 7,800 employees in Brazil, distributed among the property, agriculture, timberlands, renewable power and financial and insurance brokerage services companies. Of these, some are investment professionals, who are involved in capital allocation process and asset management.

Brookfield’s subsidiaries in Brazil also run trainee programs, which foster creativity, technical qualification and the development of talents for the organization. In addition, they have new talents retaining programs targeted at identifying internal talents for growth.

Brookfield believes that the motivation and commitment of its team are key factors for success and long-term sustainable growth.

For Brookfield in Brazil, as well as for Brookfield abroad, it is fundamental that directors, administrators and employees follow the guidelines described in its Code of Business Conduct and Ethics, as well as all laws and regulations.

With the goal of assuring that these practices are followed in our corporate environment, Brookfield in Brazil has a Confidential Hotline named Canal Confidencial, which guarantees safe and, if desired, anonymous communication of conducts that violate the Code of Business Conduct and Ethics and/or any law or regulation.
